COMPETITION OFFICIAL RULES:

NO PURCHASE REQUIRED, OPEN TO RESIDENTS OF THE UNITED STATES WHO ARE 18 YEARS OF AGE OR OLDER. VOID WHERE
PROHIBITED OR OTHERWISE RESTRICTED BY LAW.

CHALLENGE PARTIES: Up North Printing, Inc. is the competition sponsor (the “Sponsor”) of the 2009 snowmobilecalendar.com Photo
Challenge (the "Competition"). Individual entering Competition is the entrant (the “Entrant”, “Entrants” or “Entrant’s”).
PRIZES: Grand Prize:  Entrant who is determined to be the Grand Prize Winner will win a prize of $100.00 USD and have an opportunity to
have the submitted photo be featured as the Up North Printing, Inc. 2010 Snowmobile Calendar cover photo and one month feature photo.
The opportunity to have photos featured on and in the calendar is subject to Entrant responding in a timely fashion to Sponsor’s inquiries
and successfully completing required waiver(s) and pre-publication affidavit(s) provided by Sponsor. Determining successful completion of
waiver(s) and pre-publication affidavit(s) is in the sole discretion of Sponsor. Specific month in which photo may be featured shall be
decided solely by Sponsor.

Runner-Up Finalist Prizes:  There are eleven (11) Runner-Up Finalist Prizes available. An Entrant determined to be a Runner-Up Finalist
will win a prize of $25.00 USD and have an opportunity to have the submitted photo be featured in the Up North Printing, Inc. 2010
Snowmobile Calendar as a one month feature photo. The opportunity to have photos featured on and in the calendar is subject to Entrant
responding in a timely fashion to Sponsor’s inquiries and successfully completing required waiver(s) and pre-publication affidavit(s)
provided by Sponsor. Determining successful completion of waiver(s)/pre-publication affidavit(s) and Transfer of Rights form(s) is in the
sole discretion of Sponsor. Specific month in which photo may be featured shall be decided solely by Sponsor.

TO ENTER:  All Entrants agree to be bound and are subject to the Competition Rules set forth on this page as well as all terms and
conditions set forth on www.snowmobilecalendar.com and www.upnorthprinting.com. Entrants may compete by submitting the required
information beginning March 29, 2009 at 12:00:00 A.M. CST and ending at 11:59:59 P.M. CST on June 30, 2009. Follow the competition
links on www.snowmobilecalendar.com or www.upnorthprinting.com, provide the required personal information on the competition
submission form, including, but not limited to name, age, current residence address, telephone number, and email address. Entrants shall
upload their best snowmobile related photo, which captures the true spirit and essence of the sport in Jpeg (.jpg or .jpeg) digital format,
and click “submit”. Competition Sponsor shall not be liable, nor assumes any responsibility for Entrant submissions that fail to be
processed for any reason, technical or otherwise. Notification of winners by Sponsor will begin after July 1, 2009. Entrants consent to
having Sponsor contact them regarding the Competition. Upon notification being sent and/or announced by Sponsor, Entrant shall have
seven (7) days to respond/reply to Sponsor. Inability to successfully contact Entrant or failure of Entrant to promptly respond may result in
disqualification. In the event that a Entrant determined to be a winner is unable to be contacted or fails to respond promptly, or fails to
complete and return the necessary waiver(s)/affidavit(s)/ and Transfer of Rights form(s) being properly executed in a timely fashion as
determined by Sponsor, or is determined to be ineligible or withdraws from the Competition, the Sponsor reserves the right to select
another Winner.

Entrants shall submit only original, unmodified images. Sponsor, in its sole discretion, will not consider any photographs that it determines
to be altered, objectionable, obscene, vulgar, offensive, infringing on the rights of a third party, or otherwise inappropriate. By submitting a
photographic image (the “Photo”) for consideration in the Competition, Entrant warrants and represent that the photograph Entrant has
submitted is Entrant’s own original work, that Entrant alone owns the copyright to the Photo, that it is an authentic and accurate depiction
of the subject matter presented, and that no other party has any right, copyright, title, claim or interest in the Photo. Furthermore, Entrant
expressly warrants that the submitted Photo is original, has not been previously published, and has not won any other award whatsoever.
Entrant expressly warrants that Entrant has sufficient rights in the Photos submitted in this Competition to grant the Sponsor rights granted
hereunder. Should it be determined solely in the discretion of Sponsor, Up North Printing, Inc., that Entrant does not possess sufficient
rights to transfer to, Sponsor, Up North Printing, Inc., the Sponsor reserves the right to select another Winner. Entrant unconditionally
agrees that if considered to be a winner of the Competition, the monetary award that accompanies the title of being a winner, $100.00
USD for being a Grand Prize Winner and $25.00 for being a runner Up Finalist, shall act as full compensation and consideration for
Transfer of Rights of Photo from Entrant to Sponsor at time Transfer of Rights form(s) is/are agreed to and signed by entrant.   

There is no limit on the number of entries that may be submitted by an Entrant. Sponsor reserves the right in its sole discretion to
disqualify, at any point in time, any submission that does not comply with the requirements set forth in these Official Rules without
notification. Entrant expressly grants Sponsor the right to alter, modify and/or change the image for purposes of publication, in whole or in
part, in any medium now existing or subsequently developed for both commercial and non-commercial purposes, including, but not limited
to, publication on a website and/or calendar. It is further required that Entrant entering the Competition and submitting a Photo(s)
constitutes consent for Up North Printing, Inc. to use Entrant’s biographical information and Photo and grants Up North Printing, Inc. and
its subsidiaries and licensees royalty-free, worldwide, perpetual license to display, distribute and reproduce the Photo, in whole or in part,
in any medium now existing or subsequently developed for both commercial and non-commercial purposes, including, but not limited to,
publication on a website and/or calendar. Entrant making a submission waives, to the maximum extent permitted by applicable law, all
rights of attribution and integrity for specific works created in respect of all marketing, advertising and commercial uses thereof. Entrant
agrees that if Entrant is determined to be a winner of the Competition, Entrant will respond promptly to the inquiries and requests of
Sponsor regarding the execution of waiver(s)/pre-publication affidavit(s)/  and Transfer of Rights form(s), including, but not limited to
signed releases from photographers and the subjects featured in the Photos.

Up North Printing, Inc., as Competition Sponsor, reserves the right at its sole discretion to terminate or modify the Competition for any
reason including but not limited to tampering, fraud, computer/server viruses, bugs, worms, corruption, lack of security and/or fairness.
Should termination of the Competition take place, these Official Rules will be considered null and void, and have no further force or effect,
with the exception of the transfer and assignment of intellectual property rights listed above which shall remain in full force and effect,
including but not limited to: Entrant expressly grants Sponsor the right to alter, modify and/or change the Photo image for purposes of
publication and ultimately publish, in whole or in part, in any medium now existing or subsequently developed for both commercial and non-
commercial purposes, including, but not limited to, publication on a website and/or calendar. It is further required that Entrant entering the
Competition and submitting a Photo(s) constitutes consent for Up North Printing, Inc. to use Entrant’s biographical information and Photo
and grants Up North Printing, Inc. and its subsidiaries and licensees royalty-free, worldwide, perpetual license to display, distribute and
reproduce the Photo, in whole or in part, in any medium now existing or subsequently developed for both commercial and non-commercial
purposes, including, but not limited to, publication on a website and/or calendar. Entrant making a submission waives, to the maximum
extent permitted by applicable law, all rights of attribution and integrity for specific works created in respect of all marketing, advertising
and commercial uses thereof. Entrant understands and accepts that if entrant is determined to be a winner of the Competition, the one
and only payment made to Entrant shall be that payment set forth above for the Grand Prize Winner and/or the Runner Up Finalists. At no
point is Entrant entitled to, nor will Entrant ever receive any additional monetary payments, consideration, royalties, or commissions for
use or publication of submitted Photo by Up North Printing, Inc., in whole or in part, in any medium now existing or subsequently developed
for both commercial and non-commercial purposes, including, but not limited to, publication on a website and/or calendar.  

LIMITATIONS OF LIABILITY: Entrants are responsible for any financial reimbursement to the original copyright holder(s) for the rights to
publish the Submitted Photo(s) as provided herein; Up North Printing, Inc., as the Sponsor of the Competition, will not be responsible for
any such payment, and will not be held under any obligation to publish a photo credit to the original copyright holder for the publication of
an image. Entrants agree to hold Up North Printing, Inc. as Competition Sponsor, its affiliates, related companies, respective officers,
directors, employees, shareholders, attorneys, representatives and agents harmless and to indemnify Up North Printing, Inc. as
Competition Sponsor, its affiliates, related companies, respective officers, directors, employees, shareholders, attorneys, representatives
and agents from any and all liabilities for any damages or losses of any kind, including direct, indirect, consequential, special or punitive,
any and all claims, or causes of actions, including reasonable attorneys' fees and expenses that may be incurred arising out of or relating
to breach of any representation, warranty, violation of these Official Rules, injury or damages to any computer related to or resulting from
participation in the Competition, uploading or downloading from www.snowmobilecalendar.com, www.upnorthprinting.com , or any other
website owned or operated by said Competition Sponsor, or any third party website linked from Sponsor’s website(s).  

ELIGIBILITY RESTRICTIONS: Entrant’s must be 18 years of age or older as of March 29, 2009 at 12:00 A.M. Entrant must be a United
States Resident. Entrant may be disqualified from Competition at the sole discretion of Sponsor for any reason, including, but not limited
to, Entrant currently competing in or, during the course of the Competition, enters the Submitted Photo in any other competition in which
the Submitted Photo may be published or reproduced. Employees, representatives and agents of the Up North Printing, Inc., its
subsidiaries, affiliates, and their advertising and production companies and any family member or person domiciled with any of the
foregoing, are not eligible to participate. Entrant failing to promptly respond to Sponsor’s inquiries or the execution and return of waiver(s)
and/or pre-publication affidavit(s) may result in disqualification at the sole discretion of Sponsor. As determined by Sponsor, Entrant
providing false, incomplete, erroneous or misleading information on the initial submission, waiver(s) and/or pre-publication affidavit(s) will
be disqualified. All federal, state, and local laws and regulations of the United States apply. Void where prohibited or restricted.

JUDGING: This is a game of skill, and chance plays no part in determining the winners. Judging of the Competition will be performed by a
panel of Up North Printing, Inc. shareholders. In determining which Photos will win the Competition, a number of factors are considered,
including, clarity and angle of the Photo (30%), content (30%) (content may include, but is not limited to, scenery, racing, water skipping,
and grass drags), and overall effect representative of the passion for the sport and snowmobiling culture (40%).

ASSIGNMENT: By participating in this Competition each Entrant making a submission irrevocably and in perpetuity assigns to Up North
Printing, Inc. all worldwide right, title and interest in and to the submission and to all intellectual property created thereby and arising out of
the submission. Ownership of the submission and that intellectual property vests totally in Up North Printing, Inc. In respect of copyrights,
the assignment shall be effective for the entire duration of the copyrights and shall include, but not be limited to, all rights to derivative
works, digital and material. Each person making a submission waives, to the maximum extent permitted by applicable law, all rights of
attribution and integrity for specific works created in respect of all marketing, advertising and commercial uses thereof. Furthermore, it
shall be solely in the discretion of Sponsor as to whether a photo credit and attribution shall be displayed in connection with the image.
Entrant waives any and all rights requiring that a photo credit and/or attribution be included with any display of image by Sponsor.

GOVERNING LAW: Any proceeding to enforce, interpret, challenge the validity of, or recover for breach of any provision in the
Competition Rules set forth above or to the Terms and Conditions set forth on the Up North Printing, Inc. websites, including, but not
limited to, www.upnorthprinting.com and www.snowmobilecalendar.com  whether it be in an action at law, equity or otherwise, shall be filed
exclusively in DuPage County, Illinois, or in The United States District Court for the Northern District of Illinois. These terms are governed
and construed by the laws of the State of Illinois without regard to its conflict of laws rule. Up North Printing, Inc. and its subsidiaries,
including, but not limited to www.snowmobilecalendar.com, controls and operates this site from its headquarters in Hanover Park, DuPage
County Illinois, USA. You hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such
action.

PARAGRAPH HEADINGS: The headings or titles of the several paragraphs of the Competition Official Rules are inserted solely for
convenience and are not a part of, nor shall they be used or referred to in the construction of, any provision of the Competition Official
Rules.
